Job Overview: The Corporate Investment Funds Associate Attorney will provide legal counsel and support in private equity fund formation and related fund operational matters. The ideal candidate will have at least 3 years of experience in this field.

Duties:

  • Assist in the formation and structuring of private equity funds.
  • Review and draft fund documentation, including limited partnership agreements, subscription agreements, and offering memoranda.
  • Conduct due diligence on fund investments and transactions.
  • Advise clients on regulatory compliance matters related to fund formation and operation.
  • Assist in negotiating and drafting investment agreements and other transactional documents.
  • Provide legal support and advice on fund governance and operational issues.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of Texas or eligibility for admission via reciprocity.
  • Minimum of 3 years of experience in private equity fund formation and related fund operational matters.
  • Strong understanding of corporate and securities laws.
  • Excellent analytical, communication, and negotiation skills.
  • Ability to manage multiple tasks and work effectively under pressure.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:
