A law firm in Denver, CO is seeking a Mid-Level Public Finance Associate Attorney to join their team. The ideal candidate will handle public finance matters involving state and local governmental entities and nonprofits. This includes working on municipal bonds, notes, and other obligations, commercial loans (tax-exempt or taxable), for public infrastructure and capital improvement projects. Additionally, the candidate will work on transactions related to nonprofit health care, educational, cultural, and other facilities, as well as public-private partnerships. The role involves drafting transaction documents such as trust indenture resolutions, loan agreements, closing certificates, and third-party consents. The candidate will also assist with the review of due diligence materials and draft securities disclosure offering documents, including limited offering memorandums and official statements. The position requires a JD from an accredited law school, admission to the Colorado Bar (or eligibility to waive in with UBE score), excellent academic credentials, and strong legal research, writing, and interpersonal communication skills. The candidate should have 3-7 years of relevant experience in public finance and/or real estate finance.

 

Duties:

  • Handle public finance matters for state and local governmental entities and nonprofits.
  • Work on municipal bonds, notes, and other obligations for public infrastructure projects.
  • Assist with commercial loans, tax-exempt or taxable, for capital improvement projects.
  • Draft transaction documents including trust indenture resolutions, loan agreements, and closing certificates.
  • Prepare third-party consents and review due diligence materials.
  • Draft securities disclosure offering documents, including limited offering memorandums and official statements.
  • Provide legal advice and support to clients on public-private partnerships and nonprofit facilities.

 

Requirements:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Colorado Bar (or eligibility to waive in with UBE score).
  • 3-7 years of relevant experience in public finance and/or real estate finance.
  • Strong knowledge of public finance laws and regulations.
  • Experience with municipal bonds, notes, and other public finance transactions.
  • Excellent academic credentials.
  • Exceptional legal research, writing, and interpersonal communication skills.
  • Ability to work independently and collaboratively within a team.
  • Detail-oriented with strong organizational skills.
  • Prior experience in drafting transactional documents in public finance.

 

Education:

Juris Doctor (JD) from an accredited law school (Required)

 

Certifications:
