Corporate Associate Attorney

A law firm in Cincinnati, OH, is seeking a highly qualified Corporate Associate Attorney. The ideal candidate should have 3-5 years of business and transaction law experience, be licensed or soon-to-be licensed in Ohio, possess a good academic record, and demonstrate excellent written and oral communication skills.

Duties:

• Provide legal counsel and guidance to clients on various corporate and transactional matters.
• Draft, review, and negotiate a wide range of business agreements and contracts.
• Participate in due diligence processes for mergers, acquisitions, and other corporate transactions.
• Assist with corporate governance matters, including the preparation of corporate resolutions and board meeting documentation.
• Conduct legal research and analysis to support client needs.
• Collaborate with senior attorneys and clients to develop legal strategies and solutions.
• Ensure compliance with applicable laws and regulations in corporate transactions.
• Maintain organized case files, records, and documentation for efficient case management.

Requirements:

• 3-5 years of business and transaction law experience.
• Licensed in Ohio or soon-to-be licensed.
• Good academic record.
• Excellent written and oral communication skills.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

• State bar admission in Ohio (or ability to become licensed in Ohio).
