Job Overview: A law firm in New York City is seeking a Mid-Senior Level Capital Markets Associate Attorney to join the team. The ideal candidate will have substantial capital markets and securities experience, strong academic credentials, and preferably previous experience at a top-tier large NY firm.

Duties:

  • Provide legal counsel and support in capital markets transactions, including IPOs, debt offerings, and other securities-related matters.
  • Draft and review legal documents, including prospectuses, offering memoranda, and transaction agreements.
  • Conduct due diligence and research on legal and regulatory issues related to securities and capital markets transactions.
  • Collaborate with clients, senior attorneys, and partners to develop and execute legal strategies.
  • Participate in negotiations, client meetings, and other aspects of transaction management.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active bar membership in New York or eligibility for admission to the New York Bar.
  • Legal experience in capital markets, securities, or related areas.
  • Strong academic credentials with a focus on relevant coursework.
  • Previous experience at a top-tier large New York law firm is preferred.

Certifications:

  • Admission to the New York Bar or eligibility for prompt admission upon hire.

  • In-depth knowledge of capital markets regulations and securities laws.
  • Strong legal research and writing skills.
  • Excellent communication and negotiation abilities.
