Job Title: Corporate Governance Litigation Associate Attorney

Job Overview:
A prominent law firm located in New York City is seeking a motivated and strategically minded Associate Attorney to join its corporate governance litigation team. The role involves advocating on behalf of institutional investors in complex shareholder matters, with a focus on improving corporate governance standards and promoting accountability at publicly traded companies. The position offers an opportunity to work on landmark cases that drive meaningful market reform, foster transparency, and address boardroom misconduct. Candidates will join a collaborative team known for delivering precedent-setting outcomes and creating tangible value for shareholders.

Duties:

  • Represent investors in high-impact litigation matters related to shareholder rights and governance failures

  • Handle breach of fiduciary duty claims and disputes involving executive compensation, board oversight, and corporate misconduct

  • Participate in challenging transactional litigation, including contested mergers and acquisitions and unfair deal structures

  • Draft complex pleadings, briefs, and memoranda in support of governance reform initiatives

  • Conduct legal research, discovery, and deposition preparation

  • Collaborate with internal teams and co-counsel to develop and execute litigation strategies

  • Contribute to efforts that establish corporate best practices and accountability models

  • Engage in client-facing work and help maintain relationships with institutional clients

Requirements:

  • 2-6 years of experience in corporate litigation (graduation year between 2019 and 2023 preferred)

  • Admitted to practice in New York and/or Delaware

  • Substantive experience in one or both of the following:

    • Complex commercial or shareholder litigation

    • Delaware corporate law or fiduciary duty disputes

  • Demonstrated financial literacy and familiarity with corporate financial statements

  • Proven ability to work independently on challenging assignments

  • Strong interpersonal skills and a collaborative, team-driven mindset

  • Proactive attitude with an entrepreneurial approach to litigation strategy

  • Commitment to investor representation and public interest-oriented advocacy

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the New York and/or Delaware Bar

Skills:

  • Advanced legal research and writing capabilities

  • Strong verbal communication and analytical thinking

  • Ability to manage multiple high-stakes matters simultaneously

  • Familiarity with shareholder litigation and governance frameworks

  • Effective time management and task prioritization under pressure

  • Aptitude for learning quickly in a fast-paced legal environment

Job Location:

  • New York City, NY

  • Hybrid structure: In-office presence required on Tuesdays and Wednesdays; remote flexibility on other days
