Job Overview: A law firm based in New York City seeks a highly skilled and experienced Associate Attorney to join its dynamic mergers and acquisitions (M&A) and Private Equity teams. The successful candidate will be crucial in advising corporate clients and private equity funds on various transactions, including acquisitions, dispositions, minority investments, and other related matters. The Associate Attorney will be expected to bring 4-6 years of relevant experience, a strong background in mergers and acquisitions transactions, a deep understanding of corporate law, and the ability to effectively manage deals.

Duties:

  • Provide legal counsel to corporate clients and private equity funds concerning mergers, acquisitions, dispositions, minority investments, and general corporate matters.
  • Draft and review transaction documents, ensuring accuracy, compliance, and alignment with market terms.
  • Effectively manage the entire deal process, from due diligence to closing, and provide strategic guidance throughout.
  • Conduct legal research and stay abreast of industry trends, regulations, and best practices.
  • Collaborate with internal teams and external parties to facilitate smooth and efficient transaction processes.

Requirements:

  • 4-6 years of relevant legal experience in mergers and acquisitions.
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar.
  • Proven experience in handling mergers and acquisitions transactions from start to finish.
  • Strong understanding of corporate law principles and market terms.
  • Excellent communication and negotiation skills.
  • Detail-oriented with the ability to work under pressure and meet tight deadlines.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar.
