A law firm in Austin, TX, is seeking a Public Company Counsel with 5+ years of prior relevant experience. The ideal candidate will possess deep expertise in advising public companies on securities law compliance, disclosure, and corporate governance matters. They will work closely with other members of the Public Company Advisory group and must be able to independently manage day-to-day securities law counseling, SEC reporting, and corporate governance matters for a growing public company client base. Superior academic credentials and strong communication skills are required. The ideal candidate will have a profound understanding of securities laws and direct experience in public company compliance and corporate governance.

Duties:

  • Provide expert legal counsel to public companies on securities law compliance, disclosure, and corporate governance matters.
  • Collaborate effectively with other Public Company Advisory group members to address client needs comprehensively.
  • Independently manage securities law counseling, SEC reporting, and corporate governance matters for public company clients.
  • Stay abreast of regulatory developments and industry trends impacting public company compliance.
  • Draft, review, and negotiate various legal documents, including SEC filings, proxy statements, and board resolutions.
  • Conduct thorough legal research and analysis to support client objectives.
  • Assist in the development and implementation of corporate governance policies and procedures.

Requirements:

  • 5+ years of prior relevant experience advising public companies on securities law compliance, disclosure, and corporate governance matters.
  • Superior academic credentials, including a Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of Texas or eligibility for admission by reciprocity.
  • Excellent written and verbal communication skills.
  • Ability to work autonomously and manage multiple tasks efficiently.
  • Strong analytical and problem-solving abilities.
  • In-depth understanding of securities laws and regulations applicable to public companies.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the State Bar of Texas or eligibility for admission by reciprocity.

Skills:
