Job Overview:
A respected law firm located in Dallas, TX, is seeking a seasoned attorney with deep experience in securities regulations and corporate filings. This role is ideal for a professional who thrives in a fast-paced, detail-oriented environment and is comfortable working across a variety of regulatory frameworks. The position involves significant client engagement and regulatory submissions, requiring a combination of technical proficiency and strong interpersonal skills.

Duties:

  • Draft and file regulatory submissions with agencies, including the SEC, FINRA, NYSE, Nasdaq, and OTC Markets

  • Guide federal and state securities law compliance

  • Support clients with public and private securities offerings

  • Advise on ongoing reporting obligations under the Securities Exchange Act

  • Collaborate with cross-functional teams to support transactional and governance matters

  • Conduct legal research and analysis on complex regulatory matters

  • Develop and maintain client relationships through strategic legal guidance

  • Review and advise on corporate disclosures, proxy statements, and shareholder communications

Requirements:

  • 5-12 years of focused legal experience in securities and corporate law

  • Substantial exposure to regulatory filings and securities compliance

  • Demonstrated ability to manage multiple complex projects with precision

  • Strong verbal and written communication abilities

  • High attention to detail and ability to work independently or in team environments

  • Current license to practice law in at least one U.S. jurisdiction

  • Eligibility for admission in Texas without examination if not already licensed there

Education:

  • Juris Doctor (J.D.) degree from an accredited U.S. law school

Certifications:

  • Active and good standing membership with a state bar

  • Additional certifications related to securities law (optional but valued)

Skills:

  • Proficiency in drafting and interpreting regulatory documents

  • Familiarity with the SEC EDGAR filing system and related platforms

  • Solid analytical skills and a strategic legal mindset

  • Adept at building and maintaining long-term client relationships

  • Tech-savvy with legal research and document management tools
