A law firm in San Francisco, CA, is seeking a Mid-level Corporate Associate Attorney to work with venture-backed private and public companies in various transactions, including equity financing, IPOs, M&A, and corporate governance. The ideal candidate should have 2-4 years of experience in a broad range of corporate and transactional matters, with a particular focus on capital markets. Experience in public company work and registered equity offerings, such as IPOs and follow-on offerings, is essential. While experience with life sciences companies is preferred, the firm will also consider candidates with a strong interest in life sciences work (but without direct experience). The candidate should have experience working both in teams and independently in managing substantial components of transactions. Exceptional academic credentials, comparable law firm experience, and strong written and verbal communication skills are required. California Bar admission or eligibility to obtain admission promptly is necessary.

Duties:

  • Collaborate with venture-backed private and public companies in various transactions, including equity financing, IPOs, M&A, and corporate governance.
  • Provide legal support for public company work and registered equity offerings, including IPOs and follow-on offerings.
  • Manage and oversee substantial components of transactions, both independently and as part of a team.
  • Conduct due diligence, legal research, and analysis to support client transactions and provide proactive advice.
  • Draft and review legal documents related to corporate and transactional matters.

Requirements:

  • 2-4 years of experience as an attorney.
  • Experience in a broad range of corporate and transactional matters, with a focus on capital markets.
  • Experience in public company work and registered equity offerings, including IPOs and follow-on offerings.
  • Preferred experience working with life sciences companies, but a strong interest in life sciences work is also considered.
  • Exceptional academic credentials.
  • Comparable law firm experience.
  • Excellent written and verbal communication skills.
  • Ability to work both collaboratively within a team and independently in managing substantial components of transactions.
  • California Bar admission or eligibility to obtain admission promptly.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active California Bar admission or eligibility to obtain admission promptly.
