A law firm in Parsippany, NJ, is seeking a Corporate Transactional Associate Attorney with 3-5 years of demonstrated corporate and transactional experience. The ideal candidate will possess strong transactional skills, including expertise in due diligence, legal research, document drafting, and negotiation within the realms of mergers and acquisitions, joint ventures, corporate finance, and corporate governance matters. This role requires the ability to work directly with clients and manage significant components of a wide range of corporate and transactional matters. Experience in corporate and transactional work related to the healthcare and life sciences industries is a valuable advantage. The successful candidate should excel in technical, professional, and client service skills, and have exceptional written and verbal communication and advocacy abilities. NJ or CT Bar admission in good standing is a mandatory requirement.

Duties:

  • Conduct due diligence and legal research to support corporate and transactional matters.
  • Draft, review, and negotiate legal documents, contracts, and agreements with precision.
  • Provide expert counsel and support on mergers and acquisitions, joint ventures, corporate finance, and corporate governance issues.
  • Interact directly with clients, offering comprehensive legal solutions and managing various aspects of corporate transactions.
  • Ensure compliance with legal and regulatory requirements, with a focus on the healthcare and life sciences industries.

Requirements:

  • 3-5 years of demonstrated corporate and transactional experience.
  • Strong transactional background with expertise in due diligence, document drafting, and negotiation.
