Job Title: Private Funds Associate Attorney

Job Overview:
A distinguished law firm based in New York City is actively seeking a mid-level associate to join its Financial Services practice, focusing on private fund formation. The ideal candidate will work with a client base ranging from emerging fund managers to global asset managers across a diverse spectrum of investment strategies. This position offers a hands-on role supporting fund launches and related regulatory matters in a fast-paced, collaborative environment.

Duties:

  • Draft and negotiate core fund formation documentation, including:

    • Limited partnership agreements

    • Private placement memoranda

    • Subscription agreements

    • Side letters

    • Advisory and placement agent agreements

  • Manage the full lifecycle of fund launches, including:

    • Coordinating closing logistics

    • Handling investor onboarding

    • Overseeing the subscription process

  • Advise on compliance and structuring issues related to:

    • Investment Advisers Act

    • Investment Company Act exemptions

    • Regulation D and related federal securities laws

  • Serve as liaison between legal teams, clients, and fund investors throughout transactions

  • Assist with the preparation and review of regulatory filings and legal opinions

Requirements:

  • 3 to 6 years of experience in fund formation or closely related investment management work

  • Strong project management skills and the ability to independently lead components of fundraising

  • Familiarity with investor negotiations, including side letters and closing procedures

  • Demonstrated understanding of applicable securities regulations

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to the New York State Bar (or eligibility for immediate admission)

Skills:

  • Precision in legal drafting and attention to transaction details

  • Strong interpersonal communication with both clients and cross-functional teams

  • Ability to synthesize complex regulatory information into practical client advice

  • Adaptability and problem-solving under tight timelines
