Corporate-Investment Funds Associate Attorney

A law firm in New York is seeking a highly qualified and experienced Corporate-Investment Funds Associate Attorney with a focus on private equity fund formation and related fund operational matters. The ideal candidate will bring a wealth of knowledge in corporate law, investment funds, and regulatory compliance to contribute to the firm's success.

Duties:

• Draft and review legal documents related to private equity fund formation, including limited partnership agreements, subscription agreements, and offering memoranda.
• Advise clients on fund operational matters, regulatory compliance, and governance issues.
• Conducted legal research and provided analysis on relevant laws and regulations impacting investment funds.
• Collaborate with internal teams and clients to ensure compliance with legal requirements and industry standards.
• Assist in the negotiation of fund-related agreements and transactions.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Active Bar membership in the state of NY.
• 3+ years of experience practicing law with a focus on private equity fund formation.
• Strong understanding of investment funds, securities laws, and corporate governance.
