Job Overview

A prestigious global law firm is actively seeking a mid-level associate to join its high-performing Banking & Finance practice in the Americas. This position focuses on advising financial institutions, private equity sponsors, direct lenders, and corporates on sophisticated, often cross-border, financing transactions. This is an excellent opportunity for finance attorneys with at least four years of experience in debt finance who are looking to join an elite international platform and contribute to complex, high-stakes deals.

Key Responsibilities

  • Draft and negotiate commitment letters, term sheets, and core loan and security documentation

  • Lead the preparation of issues lists, summary grids, and client communications

  • Manage complex debt finance transactions from inception through closing and post-closing

  • Conduct and manage due diligence reviews

  • Serve as primary contact for clients, opposing counsel, and internal legal teams

  • Advise clients on deal administration, amendments, joinders, and related collateral issues

  • Mentor junior team members and participate in internal education and client development initiatives

  • Contribute to ongoing knowledge-building and market insight within the finance group

Qualifications

  • Juris Doctor (J.D.) from an accredited U.S. law school (LL.M. or international equivalent accepted)

  • Active member of a U.S. state bar in good standing

  • Minimum 4 years of experience in debt finance transactions

  • Preferred backgrounds include:

    • Sponsored finance

    • Syndicated lending

    • Acquisition/leveraged finance (borrower-side)

    • Fund finance or private credit

  • Strong academic credentials and legal writing skills

  • Fluency in English required; Spanish proficiency is a plus

  • Proven ability to manage multiple matters under pressure in a collaborative team setting
