Job Overview:
A prominent law firm with a strong national and East Coast footprint is seeking a Corporate Associate to join its Private Equity & Finance practice group. This opportunity is ideal for an attorney with 3–5 years of experience in investment management, fund formation, and corporate transactional work. The position involves representing institutional investors and family offices in private equity and venture capital matters, navigating complex regulatory landscapes, and handling sophisticated investment-related documentation. Location:

  • Miami, FL

Duties:

  • Advise clients on the formation and structuring of private investment funds (open- and closed-end)

  • Provide counsel on investment adviser regulatory compliance and obligations

  • Represent institutional investors and family offices in fund investments and strategic joint ventures

  • Draft and negotiate key transactional documents, including:

    • Private placement memoranda (PPMs)

    • Operating agreements for LLCs

    • Limited partnership agreements

    • Subscription agreements

    • Side letters

    • Investment management and sub-advisory agreements

  • Review and advise on fund marketing materials

  • Assist in private equity and venture capital financings, mergers and acquisitions, and other corporate matters

Requirements:

  • 3–5 years of relevant experience in investment management and private fund formation

  • Strong foundation in corporate transactional law

  • Excellent verbal and written communication skills

  • High level of client service, responsiveness, and professionalism

  • Demonstrated ability to work independently while contributing in a team-oriented setting

  • Strong problem-solving skills and ability to offer practical legal advice

  • Bar admission in good standing in the jurisdiction where the candidate intends to practice

Education:

  • Juris Doctor (J.D.) degree from an accredited law school

Certifications:

  • Licensed to practice law and in good standing in applicable state(s)

Skills:

  • Proficiency in investment fund documentation and regulatory analysis

  • Familiarity with representing institutional clients and family offices

  • Ability to draft complex legal documents with clarity and precision

  • Strong legal research, negotiation, and analytical skills

  • Capability to manage competing priorities and multiple matters simultaneously
