Job Title: Senior Finance (Borrower Side) Associate Attorney

Job Overview:
A prestigious law firm in San Diego, CA, is seeking a highly skilled Senior Associate Attorney to join its expanding private equity finance team. This position focuses on borrower-side private credit, acquisition finance, and leveraged finance, with a special emphasis on sponsor-side private equity acquisition financings. The ideal candidate will have a proven track record in handling complex finance matters and will be an integral part of a dynamic, growing team.

Duties:

  • Represent borrowers in private credit, acquisition finance, and leveraged finance transactions.
  • Advise clients on various financing structures, including sponsor-side private equity acquisition financings.
  • Lead and manage the execution of complex finance deals.
  • Provide strategic guidance on legal and regulatory matters related to finance transactions.
  • Draft, review, and negotiate loan agreements, credit facility documents, and other transactional materials.
  • Collaborate closely with cross-disciplinary teams to ensure effective legal strategies and outcomes.
  • Manage client relationships and maintain high levels of client satisfaction.
  • Supervise and mentor junior associates and paralegals.

Requirements:

  • Minimum of 4 years of experience in borrower-side private credit, acquisition finance, or leveraged finance.
  • Strong background in sponsor-side private equity acquisition financings.
  • Excellent legal research, drafting, and negotiation skills.
  • Proven ability to handle complex and high-value finance transactions.
  • Exceptional communication skills, both written and verbal.
  • Demonstrated ability to manage multiple matters efficiently and prioritize effectively.
  • Strong interpersonal skills and the ability to work well in a team-oriented environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the State Bar of California (or eligible for admission).

Skills:

  • Expertise in private equity finance, borrower-side transactions, and acquisition finance.
  • Strong understanding of leveraged finance and credit facility structures.
  • Proficiency in contract negotiation and legal drafting.
  • Ability to analyze and resolve complex legal issues.
  • Client-focused mindset with a solution-oriented approach.
