Senior Fund Finance/NAV Finance/Subscription Line Associate Attorney or Counsel

Job Overview: A law firm in New York City is seeking a Senior Fund Finance/NAV Finance/Subscription Line Associate Attorney or Counsel with 6+ years of fund finance experience. The ideal candidate will have extensive experience representing borrowers, agents, lead arrangers, and lenders on NAV-based, subscription credit, capital call, and other fund finance facilities across various investment sectors. Prior work with CLOs and a strong background in large law firm environments are desirable.

Duties:

• Representing borrowers, agents, lead arrangers, and lenders on NAV-based, subscription credit, capital call, and other fund finance facilities
• Providing legal counsel on hybrid, open-end, HNW, aftercare, umbrella, management fee, and GP lines for corporate credit, private equity, real estate, and other investment funds
• Conducting legal research, drafting legal documents, and negotiating agreements related to fund finance transactions
• Collaborating with internal teams and external parties to ensure compliance with legal and regulatory requirements
• Advising clients on risk management strategies and potential legal implications of fund finance transactions
• Assisting with the development and implementation of best practices and standard procedures related to fund finance matters

Requirements:

• Juris Doctor (JD) degree from an accredited law school
• Admission to the New York State Bar (or ability to become admitted promptly)
• Minimum of 6+ years of experience in fund finance law, preferably with a focus on subscription line credit facilities and NAV-based facilities
• Demonstrated experience representing clients in fund finance transactions across various investment sectors
• Strong understanding of legal principles and regulations related to fund finance, including CLOs
• Proven track record of working in large law firm environments and managing complex legal matters
• Excellent communication, negotiation, and analytical skills
• Ability to work independently and collaboratively in a fast-paced environment
