Duties

  • Lead and support IPOs, SPAC IPOs, de-SPAC business combinations, and private placements.
  • Draft and negotiate offering documents, including registration statements and underwriting agreements.
  • Advise on SEC, FINRA, stock exchange compliance, and corporate governance policies.
  • Provide support for ongoing reporting, governance, and stakeholder engagement.
  • Collaborate with sector-specialist attorneys in various industries.
  • Conduct due diligence and manage internal deal teams and external advisors.
  • Cultivate relationships with issuers, underwriters, and financial intermediaries.

Requirements

  • 9-10 years of experience in capital markets.
  • Transactional experience in IPOs, SPACs, or PIPE deals.
  • Solid understanding of securities laws and compliance frameworks.
  • Experience preparing SEC filings and governance documentation.
  • Strong drafting ability and analytical skills.
  • J.D. and active NY Bar membership.

Education

  • Juris Doctor (J.D.) degree.

Certifications

  • Active New York Bar membership.
