Job Title: Mid-Level Life Sciences Corporate Associate Attorney

Job Overview:
A prominent law firm based in New York City, NY, is seeking a mid-level associate to join its Life Sciences transactional practice. This role supports a high-performing legal team that advises innovative companies in the life sciences, technology, and healthcare sectors. The successful candidate will engage in a diverse range of corporate work involving private equity financings, public offerings, mergers and acquisitions, and general corporate governance. This opportunity is presented by a legal recruitment agency on behalf of the hiring firm.

Duties:

  • Support private and public company clients on a variety of corporate lifecycle transactions

  • Draft and negotiate deal documents related to venture financings, IPOs, and M&A transactions

  • Manage components of public company work, including registered equity offerings and SEC compliance

  • Advise clients on governance matters and cross-border transactional issues

  • Collaborate with multi-jurisdictional legal teams and coordinate deal execution

  • Maintain relationships with clients in the biotechnology, healthcare, and tech sectors

Requirements:

  • 3-4 years of experience handling complex corporate transactions, including public offerings and M&A

  • Background in public company compliance, equity offerings, and SEC reporting

  • Interest in the life sciences sector required; direct experience preferred but not mandatory

  • Demonstrated ability to manage portions of transactions independently

  • Strong interpersonal skills and the ability to work effectively in collaborative environments

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the New York Bar (or ability to promptly gain admission)

Skills:

  • Proficient in corporate law applicable to emerging growth companies

  • Excellent drafting and negotiation skills

  • Ability to handle client-facing responsibilities with minimal supervision

  • Strong organizational, research, and communication skills
