Mid/Senior-Level Corporate Attorney

Job Overview:
A law firm based in Roseland, NJ, is seeking a Mid/Senior-Level Corporate Attorney with a minimum of 4+ years of experience in general corporate law, particularly in mergers and acquisitions transactions, private equity representation, venture transactions, and corporate governance. Experience in data and technology sectors and a background in representing vendors in SaaS agreements and data providers are highly desirable.

Duties:

• Represent clients in mergers and acquisitions transactions, including strategy development and negotiation.
• Provide legal counsel and support in private equity transactions.
• Advise clients on venture transactions, including financing and governance matters.
• Offer general corporate governance advice to clients.
• Draft and negotiate SaaS agreements for vendor representation.
• Represent data providers in legal matters as needed.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the bar in New Jersey or eligibility for admission through reciprocity.
• Minimum of 4+ years of experience practicing corporate law at a reputable law firm.
• Proven track record in mergers and acquisitions, private equity, and venture transactions.
• Strong understanding of corporate governance principles.
• Experience working with data and technology companies preferred.
• Excellent communication and negotiation skills.
• Ability to work independently and collaboratively in a fast-paced environment.
• Strong attention to detail and analytical skills.

Certifications:

• Active membership in good standing with the New Jersey State Bar Association or other relevant bar associations.
