Job Overview:

A law firm in Atlanta, GA, seeks an experienced Insurance Regulatory and Transactional Senior Counsel to provide comprehensive legal services. The successful candidate will be pivotal in handling insurance regulatory matters, mergers, acquisitions, and reinsurance transactions, demonstrating expertise in corporate governance and strategic transactions.

Duties:

  • Provide effective and reliable legal services to clients and supervising attorneys.
  • Collaborate with legal advisors for the analysis and drafting of transaction documents related to mergers, acquisitions, and reinsurance transactions.
  • Conduct thorough research on insurance laws, regulations, and case law, offering detailed guidance and analysis to partners and clients.
  • Draft memoranda addressing discrete legal issues and prepare transaction agreements and documents with efficiency and clarity.
  • Manage transaction closings and processes with meticulous attention to detail.
  • Deliver comprehensive factual and legal research and analysis to support legal strategies.
  • Communicate competently and professionally with clients and supervising attorneys.
  • Complete tasks efficiently, demonstrating flexibility and creativity in handling various transaction types and structures.
  • Utilize exceptional project management skills to meet deadlines and work effectively under pressure.

Requirements:

  • Minimum of 10 years of In-House Insurance Regulatory and Transactional experience.
  • Specific expertise in insurance regulatory matters at insurance companies will be considered favorably.
  • Experience in strategic transactions, including mergers and acquisitions, joint ventures, investments, and general corporate and corporate governance matters.
  • Juris Doctor degree.
  • Must be and remain licensed to practice law and in good standing.
