Job Overview: A law firm is seeking a Fund Formation Associate Attorney to be involved in all aspects of fund formation, structuring, compliance, and ongoing management for alternative investment funds. The role will also include working on related capital-raising transactions and managing equity investment processes.

Duties:

  • Participate in all aspects of the formation, structuring, and compliance of alternative investment funds across various strategies.
  • Work on capital raising transactions, including programmatic joint ventures and structuring equity investment processes.
  • Draft limited partnership agreements and limited liability company agreements for private investment funds.
  • Review and identify issues in fund documents on behalf of institutional investors.
  • Prepare offering documents, including Private Placement Memorandums (PPMs), and ensure compliance with relevant securities laws.
  • Advise on Advisers' Act and related exemption, registration, and compliance issues for fund managers.
  • Draft and negotiate transaction documents and commercial agreements.

Requirements:

  • 2-6 years of experience in a large law firm representing private fund sponsors and institutional investors.
  • Strong understanding of market fund terms and issues commonly negotiated in fund offerings.
  • Experience with Regulation D and other securities laws governing private placements.
  • Familiarity with the Advisers' Act and related compliance issues for fund managers.
  • Strong academic record and excellent writing and oral communication skills.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to Pennsylvania State Bar.

Skills:

  • Proficiency in drafting limited partnership agreements and other fund formation documents.
  • Strong interpersonal skills to interact with clients and colleagues effectively.
  • Ability to work independently and collaboratively in a team environment.
  • Excellent analytical and problem-solving abilities.
