Job Overview

A law firm seeks an experienced associate to join its Spokane, WA office in the Real Estate, Corporate, and Municipal practice. The ideal candidate will engage in complex business, real estate, and asset-based finance transactions, real estate development and leasing, and comprehensive municipal issues. This role offers the opportunity to work with experienced partners and represent sophisticated clients on significant matters, fostering professional growth in a collaborative environment.

Duties

  • Review, draft, and manage transaction due diligence.
  • Negotiate transaction documents in corporate and real estate matters.
  • Prepare loan documents, including agreements and security instruments.
  • Analyze surveys and title commitments for acquisitions and lending.
  • Coordinate and conduct transaction closings.
  • Prepare organizational and authorizing documents.
  • Ensure appropriate approvals before executing transactions.
  • Interpret laws, rulings, and regulations in relevant areas.
  • Provide guidance to decision-makers in corporate and municipal contexts.

Requirements

  • Knowledge of state and federal laws governing transactions.
  • Proficiency in asset-based and real estate finance transactions.
  • Excellent oral and written communication skills.
  • Strong critical thinking and attention to detail.
  • Exceptional research and analytical skills.
  • Self-motivated with a strong work ethic.

Education

  • Currently admitted to practice in Washington with an active bar license or able to be admitted within one year.
  • 1+ years of experience in real estate or corporate finance transactional matters preferred.
  • Preference for candidates with an excellent academic record.

Certifications

  • Active bar license in good standing or eligibility for admission within one year.

Skills

  • Proficiency in asset-based finance and real estate finance transactions.
  • Excellent communication and analytical skills.
  • Ability to work independently and collaboratively.
