Job Overview

An established national law firm seeks an experienced Principal Attorney specializing in Emerging Companies and Venture Capital (ECVC) matters to join its Business Practice Group. This opportunity offers a sophisticated, bi-coastal platform to attract and expand a diverse corporate client base, provide close day-to-day counseling to businesses of all sizes, and lead complex capital transactions across various industries. Candidates will work collaboratively with experienced attorneys across multiple firm offices, with strong support for professional growth and development.

Location

  • Spokane, WA

Duties

  • Counsel early-stage and emerging brands on corporate governance, fundraising, and business development

  • Lead and structure private offerings, venture capital investments, and debt/equity financings

  • Represent clients through capital raise transactions with angel investors, venture capital funds, syndicates, traditional banks, and private investors

  • Advise on matters involving public companies, securities law, capital markets, and M&A (preferred)

  • Collaborate closely with attorneys across multiple practice areas and offices

  • Provide strategic counseling to clients on business formation, growth, and exit strategies

  • Participate in diversity, equity, and inclusion initiatives and pro bono work (optional but encouraged)

Requirements

  • Minimum of 7 years of experience in ECVC transactions and corporate counseling

  • Demonstrated expertise representing early-stage companies in capital raise activities

  • Partial portable book of business required

  • Ability to manage multiple complex matters simultaneously

  • Exceptional client-service approach and strong communication skills

  • High level of independence and team collaboration skills

  • Excellent analytical, organizational, and writing abilities

  • Commitment to delivering responsive and professional client service

Education

  • Juris Doctor (J.D.) degree from an ABA-accredited law school

Certifications

  • Active bar admission in at least one U.S. jurisdiction

Skills

  • Deep knowledge of private offerings, venture capital financing, and corporate transactions

  • Familiarity with public company requirements, securities law, and M&A (preferred)

  • Strategic thinking and practical problem-solving abilities

  • Strong attention to detail and project management skills

  • Effective leadership and client relationship management skills
