Job Overview

A nationally respected law firm is seeking a mid-level Emerging Companies & Venture Capital (ECVC) Associate Attorney to join its Business Practice Group. This associate will work on sophisticated corporate and transactional matters for both small and large clients across a variety of industries, collaborating closely with attorneys across multiple offices. Location

  • Spokane, WA

Duties

  • Advise clients on entity selection, business formation, and organizational and governance structures

  • Handle day-to-day corporate matters for businesses of various sizes

  • Lead and support capital raising transactions including:

    • Private offerings

    • Debt and equity financings from friends and family, angel investors, venture capital funds, syndicates, and traditional banks

  • Provide counsel on public company matters, capital markets transactions, and securities (preferred)

  • Collaborate with attorneys across multiple offices on sophisticated transactions

  • Participate in firm-wide diversity, equity, inclusion, and pro bono initiatives (optional but encouraged)

  • Deliver responsive, professional, and client-focused legal services

Requirements

  • Minimum of 3 years of experience in corporate governance, counseling, and transactional work

  • Proven experience representing early-stage brands in capital raising transactions

  • Ability to independently manage multiple projects simultaneously

  • Strong client-service mindset and excellent interpersonal communication skills

  • Commitment to working effectively within a diverse team environment

  • High-level organizational skills and attention to detail

  • Responsive, professional, and adaptable work approach

Education

  • Juris Doctor (J.D.) degree from an ABA-accredited law school

Certifications

  • Active license to practice law

Skills

  • Strong knowledge of private offerings, venture capital financings, and corporate transactions

  • Familiarity with public company requirements, securities compliance, and M&A (preferred)

  • Excellent legal research, writing, and problem-solving abilities

  • Strategic thinking with business-centered decision-making skills

  • Ability to build and maintain strong client relationships
