Funds Associate Attorney

Job Overview:
A law firm in New York City is seeking a highly experienced Funds Associate Attorney with 4-6 years of significant experience in private equity fund formation and related matters. The ideal candidate will possess in-depth knowledge of private equity fund structuring, documentation, and related regulatory compliance.

Duties:

• Assist private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements, and related ancillary agreements.
• Review fund documentation on behalf of institutional investors and negotiate fund terms.
• Structure and draft governing documents pertaining to private equity fund management companies and general partners.
• Stay current with relevant securities rules and regulations, including the Investment Advisers Act.
• Provide expertise in private equity "secondary" transactions, as needed.

Requirements:

• 4-6 years of significant experience in private equity fund formation and related matters.
• Prior experience in a large law firm or, in special circumstances, an in-house setting.
• Admission to the State Bar of New York.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

• Admission to the State Bar of New York.

Skills:

• Strong expertise in private equity fund formation and related documentation.
• Excellent negotiation and contract drafting skills.
• In-depth knowledge of relevant securities rules and regulations, including the Investment Advisers Act.
• Experience in private equity "secondary" transactions is a plus.
• Strong analytical and problem-solving abilities.
• Excellent communication and interpersonal skills.
• Attention to detail and ability to work under pressure.
