A law firm is actively seeking a Mid-level Corporate Associate Attorney to join their dynamic team in New York City. The successful candidate will be a part of a thriving practice that handles a comprehensive range of corporate transactions and related legal matters. The role requires a dedicated professional who can effectively manage complex legal projects and contribute to the firm’s goals with expertise and integrity.

Duties:

  • Coordinate and execute corporate transactions, including mergers and acquisitions, divestitures, corporate finance and securities, joint ventures, and debt and equity financings.
  • Assist with general corporate governance matters, including drafting and negotiating operating agreements, incorporation documents, equity grants, and authorizing resolutions.
  • Draft various types of commercial agreements, such as exclusive/non-exclusive license agreements, employment agreements, and client engagement agreements.
  • Conduct due diligence for corporate transactions.
  • Manage and oversee the work of paralegals and junior associates in handling corporate maintenance including registrations, qualifications, and other necessary legal compliance.
  • Provide legal advice and support to clients on various corporate and commercial matters.
  • Participate in the development of strategies for client transactions and corporate structure optimizations.

Requirements:

  • Juris Doctor degree from an accredited law school.
  • Admitted to practice in New York State.
  • 3-5 years of corporate law experience, specifically directly handling complex corporate transactions.
  • Demonstrable experience in managing significant client relationships and projects.

Education:

  • Juris Doctor (JD) degree required.
  • Additional certifications in corporate governance or financial law are preferred but not essential.

Certifications:

  • Membership in the New York State Bar Association.
  • Certifications related to corporate governance, securities law, or similar fields are beneficial.

Skills:

  • Strong proficiency in drafting, negotiating, and reviewing legal documents and agreements.
  • Excellent analytical, organizational, and communication skills.
  • Ability to work effectively in a team and manage multiple projects in a fast-paced environment.
  • Keen attention to detail and the ability to work under pressure.
  • Strong interpersonal skills with the capacity to advise and influence clients and team members.
