Job Overview:
A Chicago-based law firm is seeking a seasoned legal professional with substantial exposure to securities law and regulatory filings. This position involves working on complex disclosure matters, regulatory submissions, and advising on compliance related to public and private securities offerings. The ideal candidate brings a keen eye for precision, an analytical mindset, and the capacity to handle multiple priorities in a dynamic legal environment.

Duties:

  • Draft and file documents with regulatory agencies such as the SEC, FINRA, NYSE, Nasdaq, and OTC Markets

  • Advise on securities compliance and disclosure obligations for public companies

  • Support transactional work, including private placements and public offerings

  • Collaborate with internal teams and clients to navigate regulatory frameworks

  • Review and update corporate governance documents and policies

  • Assist clients in interpreting new regulatory developments and how they affect business operations

Requirements:

  • 5-12 years of relevant legal experience, primarily focused on securities law and regulatory compliance

  • Direct experience handling SEC and other market-related filings

  • Demonstrated capability to manage intricate legal matters with minimal supervision

  • Eligibility to practice law in the current jurisdiction or ability to waive into practice

Education:

  • Juris Doctor (J.D.) degree from an accredited U.S. law school

Certifications:

  • Active State Bar membership in good standing (or eligibility for admission without examination)

Skills:

  • Strong grasp of federal securities laws and regulations

  • Exceptional drafting and analytical abilities

  • Proficient verbal and written communication skills

  • Comfortable working across cross-functional legal and business teams

  • Ability to manage competing priorities and maintain attention to detail
