Job Overview

A highly respected law firm is seeking an associate to join its Mergers & Acquisitions Clearance Team. This role is focused on regulatory antitrust matters—specifically Hart-Scott-Rodino (HSR) Act compliance and international merger control issues. The associate will work closely with corporate and private equity teams to assess regulatory filings, support transaction clearance processes, and advise on antitrust risks associated with mergers and acquisitions. This is a non-litigation role with opportunities for growth in both U.S. and global regulatory frameworks.

Duties

  • Evaluate HSR reportability for corporate and private equity transactions

  • Prepare and file HSR forms in compliance with regulatory requirements

  • Coordinate HSR and international merger control filings with clients, corporate teams, and opposing counsel

  • Assist in managing second request processes and regulatory interactions

  • Support antitrust counseling related to competitor transactions and strategic mergers

  • Collaborate with internal teams and external regulators to ensure timely and accurate filings

  • May assist with broader antitrust analyses and compliance matters as needed

Requirements

  • 1–4 years of experience in antitrust/competition law, particularly in M&A clearance

  • Familiarity with the HSR Act and pre-merger notification processes

  • Background in regulatory or corporate M&A (preferred)

  • Experience advising private equity clients is a plus

  • Ability to manage multiple transactions under tight deadlines

Education

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications

  • Admission to the bar in at least one U.S. jurisdiction, with eligibility for prompt admission in the relevant office location

Skills

  • Strong legal drafting and communication skills

  • Exceptional attention to detail in managing regulatory documentation

  • Ability to work effectively in a deadline-driven, high-volume environment
