Job Title: Mid-Level Associate Attorney

Job Overview:
A distinguished law firm based in New York City is seeking a mid-level associate to join its Strategic Transactions Group, with a primary focus on mergers and acquisitions. The ideal candidate will bring deep transactional experience, strong drafting skills, and the ability to independently manage deal components. This position provides the opportunity to work on sophisticated M&A transactions involving both public and private entities, in collaboration with cross-functional legal and business teams.

Duties:

  • Lead and manage due diligence reviews of target entities, including financials, contracts, and corporate records

  • Draft and negotiate key transaction documents such as asset purchase agreements, merger agreements, and confidentiality agreements

  • Coordinate and oversee the diligence process across internal teams and external advisors

  • Perform legal research and analysis relevant to corporate and transactional matters

  • Advise clients on structuring, risk assessment, and regulatory compliance in connection with M&A deals

  • Collaborate with tax, finance, compliance, and operations teams to ensure transaction readiness and execution

  • Prepare supporting legal documents, including memoranda, legal opinions, and internal presentations

  • Monitor legal and market trends to deliver proactive and strategic advice

Requirements:

  • 4-6 years of focused M&A experience within a large AmLaw 100 or equivalent high-volume law firm

  • Demonstrated expertise in public and private company transactions, joint ventures, and corporate governance

  • Advanced drafting skills with meticulous attention to detail

  • Strong business judgment and market awareness

  • Proven ability to take initiative and manage components of transactions with minimal oversight

  • Excellent communication and project management skills

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Admission to the New York State Bar and in good standing

Skills:

  • Expertise in drafting acquisition documents and managing deal lifecycles

  • Solid analytical, organizational, and interpersonal capabilities

  • Adaptability to complex and evolving client needs

  • Ability to collaborate and communicate across diverse teams
