A law firm seeks an Asset Securitization Associate Attorney to join its New York office. This role sits within a structured finance group focused on collateralized loan obligation (CLO) transactions and related securitization work.

Duties

  • Draft and negotiate transaction documents for CLO issuances, warehouse facilities, bilateral financings, and other structured lending arrangements

  • Prepare and review financing statements and advise on Uniform Commercial Code (UCC) issues

  • Analyze and ensure compliance with federal securities laws and post-crisis regulations (e.g., the ’33 Act, ’34 Act, Volcker Rule, Risk Retention Rules, ’40 Act)

  • Draft and critique legal opinions related to securitization and structured transactions

  • Address bankruptcy-related considerations impacting securitized assets

  • Coordinate with deal teams to manage multiple transactions under tight deadlines

Requirements

  • 3–6 years of securitization or structured finance transactional experience

  • Strong familiarity with complex structured finance deals and related regulatory frameworks

  • Proven ability to handle multiple high-pressure projects simultaneously

  • Excellent negotiation, drafting, and research capabilities

  • Ability to work extended hours, including non-standard schedules, to meet deal timelines

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school

Certifications

  • Active membership in good standing of the New York State Bar

Skills

  • Advanced drafting and transactional negotiation

  • In-depth knowledge of UCC filing and enforcement

  • Expertise in federal securities regulation and compliance

  • Strong analytical reasoning and organizational aptitude

  • Effective oral advocacy and written communication skills
