A law firm in Houston is seeking a Corporate Associate Attorney to serve as the second chair lawyer on complex commercial transactions. The ideal candidate will have 2 years of experience in general corporate transactional matters, including mergers and acquisitions, Reg. D securities offerings, and corporate drafting in a law firm environment. An LL.M. degree and eligibility for Texas Bar Licensure are required.

 

Duties:

  • Assist in structuring and negotiating complex commercial transactions.
  • Conduct legal research and provide analysis for corporate matters.
  • Draft and review transactional documents, including contracts, agreements, and corporate governance documents.
  • Participate in due diligence processes for mergers and acquisitions.
  • Collaborate with senior attorneys to ensure compliance with regulatory requirements.

 

Requirements:

  • LL.M. degree in Corporate Law or related field.
  • Eligibility for Texas Bar Licensure.
  • Minimum of 2 years of experience in general corporate transactional matters.
  • Experience with mergers and acquisitions, Reg. D securities offerings, and corporate drafting.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication abilities.
  • Ability to work independently and as part of a team in a fast-paced environment.

 

Education:

LL.M. degree in Corporate Law or related field.

 

Certifications:

Texas Bar Licensure (must be eligible).
