Job Overview:
A law firm specializing in employment and labor relations seeks a skilled Transactional Associate Attorney to join its team. This position offers the opportunity to gain hands-on experience in a range of transactional matters, including contracts, real estate, construction, education, corporate governance, and nonprofit law. The ideal candidate will have at least three years of relevant legal experience and will play a key role in providing legal counsel to public agencies, educational institutions, and nonprofit organizations.

Duties:

  • Contract Law:
    • Draft, review, and negotiate vendor agreements, professional services contracts, equipment leases, and SaaS agreements.
    • Advise on bidding processes, instructions to bidders, and requests for proposals.
    • Provide guidance on contract compliance, risk assessment, and dispute resolution.
    • Advise on legal implications relating to Artificial Intelligence.
  • Real Estate and Facilities:
    • Assist with property transactions, including acquisitions, leases, easements, and facilities use agreements.
    • Advise on operational and maintenance matters, including ADA compliance.
  • Construction Law:
    • Draft and negotiate private works construction contracts with design professionals and contractors.
    • Advise on public works bidding, prequalification, and procurement, including preparing bid documents and construction contracts.
    • Counsel on qualifications-based selection and design professional agreements.
    • Address payment and performance issues during construction projects.
    • Advise on mechanic's liens and stop payment notices.
  • Education Law:
    • Advise public education clients on Education Code compliance, Civic Center Act, and statutory requirements.
    • Support transactions involving sale of surplus property, leasing, and joint-use agreements.
  • Nonprofit Law:
    • Assist nonprofit organizations with formation, maintaining tax-exempt status, and corporate governance.
    • Draft agreements for fiscal sponsorships, fundraising, and joint-use arrangements.
    • Counsel on mergers, acquisitions, and governance for nonprofits and auxiliary organizations.

Requirements:

  • J.D. from an accredited law school and active membership in good standing with the California State Bar.
  • Minimum of three years of relevant legal experience, particularly in transactional law.
  • Strong ability to manage multiple priorities and deadlines in a collaborative environment.
  • Experience with special district clients, educational institutions, or nonprofits is a plus.
  • Knowledge of the Public Contract Code, Corporations Code, and Education Code is a plus.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Member in good standing with the California State Bar.

Skills:

  • Strong drafting and negotiation skills for various transactional matters.
  • Ability to manage complex legal matters in real estate, construction, education, and nonprofit law.
  • Excellent communication skills, both written and verbal.
  • Strong organizational skills with a keen attention to detail.
