Job Overview:
A nationally recognized law firm is seeking a Corporate Securities Attorney to join its Corporate Business Unit. This role offers the flexibility to work from any of the firm’s U.S. office locations and involves representing clients in connection with securities law compliance and regulatory filings. The ideal candidate will have significant experience handling SEC, FINRA, and exchange-related filings, and will bring strong analytical, drafting, and communication skills to a collaborative legal team.

Location:

  • Houston, TX

Duties:

  • Prepare filings with the Securities and Exchange Commission (SEC), FINRA, NYSE, Nasdaq, and OTC Markets Group

  • Advise public and private companies on securities compliance, disclosure obligations, and capital markets activity

  • Support clients with the drafting of proxy statements, periodic reports (10-K, 10-Q, 8-K), registration statements, and other regulatory documents

  • Counsel clients on corporate governance and board advisory matters

  • Assist with securities aspects of M&A and financing transactions

  • Keep clients informed on regulatory changes impacting disclosure or compliance

  • Collaborate with legal teams across offices on multi-disciplinary corporate matters

Requirements:

  • 5–12 years of experience in securities and corporate law

  • Prior experience with SEC, FINRA, and major U.S. exchanges (NYSE, Nasdaq) filings

  • Deep knowledge of securities compliance and public company reporting obligations

  • Ability to manage multiple matters in a fast-paced environment

  • Strong client service orientation and attention to detail

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active license to practice law in the candidate’s home jurisdiction

  • Eligibility for admission without examination in additional jurisdictions is a plus

Skills:

  • Excellent legal drafting, research, and communication skills

  • Proficient in analyzing complex securities law issues

  • Detail-oriented with the ability to manage regulatory deadlines

  • Effective collaborator with internal teams and external clients
