Job Overview:

An established law firm is seeking an experienced ECVC Associate to join its corporate practice group. This role involves representing emerging companies and the investors who support them, leading transactions, and providing strategic counsel to clients in various industries. The position requires direct interaction with founders, CEOs, management teams, and boards of directors, as well as venture capital and institutional investors.

Location:

  • New York, NY

Duties:

  • Lead transactions and provide legal counsel to emerging companies and investors.

  • Advise on company formation, equity structures, and venture capital financings.

  • Assist clients with corporate governance, commercial transactions, and regulatory compliance.

  • Counsel on equity incentive plans, employment matters, and intellectual property issues.

  • Support clients in industries such as AI, fintech, life sciences, semiconductors, and SaaS.

Requirements:

  • 5-7 years of experience in Emerging Companies & Venture Capital (ECVC) law.

  • Strong background in corporate law with a focus on venture capital transactions.

  • Experience advising technology and growth companies at various stages of development.

  • Ability to work directly with high-profile clients, including founders and investors.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active bar membership in good standing in the state of practice.

Skills:

  • Expertise in venture capital financings, mergers and acquisitions, and corporate governance.

  • Strong negotiation and drafting skills.

  • Ability to manage multiple complex transactions simultaneously.

  • Excellent communication and client-relations skills.
