Job Title: Corporate Blue Sky Project Attorney

Job Overview: A law firm in New York City is seeking a Corporate Blue Sky Project Attorney with experience in Blue Sky compliance and a strong understanding of securities laws. The ideal candidate will ensure compliance with state securities regulations, interfacing with regulatory agencies, and assisting in various corporate transactions.

Duties:

  • Interface with the SEC and state securities regulatory agencies.
  • Research state securities laws and regulations.
  • Review offering documents and other agreements.
  • Monitor the firm’s blue sky-related transactions.
  • Prepare and file necessary documents manually and online via federal and state securities portals.
  • Assist in overall compliance of transactions under Blue Sky law.

Requirements:

  • Admitted to practice law in the state of New York.
  • Working experience in Blue Sky compliance.
  • Knowledge of the '33 Act and securities laws of U.S. states and jurisdictions.
  • Familiarity with reporting requirements under the '34 Act.
  • Understanding of provisions of the '40 Act relating to fund formation.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the New York State Bar.

Skills:

  • Strong understanding of securities laws and regulations.
  • Excellent research and analytical skills.
  • Attention to detail and accuracy in document review and preparation.
  • Ability to work effectively in a team environment.
  • Excellent communication and interpersonal skills.
