A law firm in Naples is seeking an Employee Benefits and Executive Compensation Attorney with 4-6 years of experience. The ideal candidate should possess significant expertise in providing counsel on employee benefits and executive compensation matters, particularly in the context of mergers, acquisitions, and divestitures.

 

Duties:

  • Researching tax and ERISA issues affecting the design and operation of retirement plans, welfare and fringe benefit plans, compensation arrangements, and executive agreements and plans.
  • Reviewing statutory and regulatory changes, and assisting clients with effective compliance strategies in response to these developments.
  • Assisting with due diligence, purchase agreement review, plan terminations, and benefits integration within the corporate transactions context.
  • Drafting employment agreements, equity and phantom equity incentive arrangements, and transaction bonus agreements.
  • Completing IRS and Department of Labor correction program filings.

 

Requirements:

  • 4-6 years of experience in employee benefits and executive compensation law.
  • Proven experience in counseling on benefits and compensation issues related to mergers, acquisitions, and divestitures.
  • Familiarity with ESOPs, multiemployer plan withdrawal liability, and Internal Revenue Code Section 409A compliance preferred.

 

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Bar in the relevant jurisdiction.

 

Certifications:

Certification in Employee Benefits Law (CEBS) or equivalent is a plus.

 

Skills:

  • Strong research and analytical skills.
  • Excellent written and verbal communication abilities.
  • Proficiency in drafting legal documents, including employment agreements and incentive arrangements.
  • Knowledge of tax and ERISA issues related to retirement plans and executive compensation.
  • Familiarity with correction program filings with IRS and Department of Labor.
