Corporate Associate Attorney

A law firm in Chicago is seeking a highly skilled and motivated Corporate Associate Attorney with 3-5 years of experience in private equity, venture capital, and joint venture transactions. The ideal candidate should possess strong drafting and organizational skills, excellent academic credentials, and prior experience in an Am Law 100 law firm. The candidate must hold a Juris Doctor degree from an ABA-accredited law school and be a member of the State Bar or eligible for prompt admission.

Duties:

• Conduct legal research and analysis on corporate matters related to private equity, venture capital, and joint ventures.
• Draft and review legal documents, including contracts, agreements, and transactional documents.
• Provide legal advice and counsel to clients on corporate transactions and compliance matters.
• Participate in due diligence investigations and negotiations.
• Collaborate with senior attorneys and partners on complex legal matters.
• Stay updated on changes in laws and regulations relevant to corporate transactions.

Requirements:

• 3-5 years of relevant experience in private equity, venture capital, and joint venture transactions.
• Juris Doctor degree from an ABA-accredited law school.
• Membership in the State Bar or eligibility to obtain admission promptly.
• Prior experience in an Am Law 100 law firm.
