Job Overview: A law firm in Chicago, IL, is seeking a skilled and experienced Technology and IP Transactional Associate Attorney with 3-6 years of relevant experience. The ideal candidate will have a strong background in life sciences transactions and broader technology and intellectual property transactions within the realms of mergers and acquisitions and other corporate dealings. This role requires expertise in negotiating and drafting strategic commercial agreements, including collaboration, license, outsourcing, and joint venture agreements.

Duties:

  • Manage and execute technology and intellectual property transactions in the life sciences sector and broader technology landscape.
  • Provide legal support in mergers and acquisitions, ensuring compliance with relevant laws and regulations.
  • Draft, review, and negotiate complex commercial agreements, including collaboration, license, outsourcing, and joint venture agreements.
  • Conduct due diligence related to technology and intellectual property aspects of corporate transactions.
  • Collaborate with cross-functional teams to ensure legal and business objectives are aligned.

Requirements:

  • 3-6 years of relevant legal experience, with a focus on life sciences transactions and broader technology and intellectual property transactions.
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Bar in the state of Illinois.

Preferred Qualifications:

  • Outstanding credentials and qualifications related to the pharmaceutical and life sciences industry.
  • Previous experience in handling technology and intellectual property matters in corporate transactions.

Certifications:

  • Admission to the Bar in the state of Illinois.

Skills:

  • Strong legal research and analytical skills.
  • Excellent drafting and negotiation abilities.
  • Knowledge of relevant laws and regulations in technology, intellectual property, and corporate transactions.
  • Effective communication and collaboration skills.
  • Detail-oriented with the ability to manage multiple tasks and priorities simultaneously.
