Job Overview:

The Tax Associate Attorney will primarily focus on federal income taxation, encompassing taxable and tax-free mergers and acquisitions, debt and equity financings, and corporate, partnership, and limited liability company formations. Strong communication, analytical, and writing skills are essential for this role. The candidate must be admitted to practice in New York State. An accounting background, LLM, tax court clerkship, investment fund, or other tax transactional experience is preferred, with experience in US international taxation considered a plus.

Duties:

• Provide legal counsel on federal income taxation matters, focusing on mergers and acquisitions, financings, and entity formations.
• Conduct legal research and analysis pertaining to tax laws and regulations.
• Draft legal documents, including agreements, memoranda, and opinions.
• Assist in tax planning and strategy development for clients.
• Represent clients in tax-related disputes and negotiations.

Requirements:

• Minimum of 3 years of experience in federal income taxation.
• Admitted to practice law in New York State.
• Strong communication, analytical, and writing skills.
• Preferred: Background in accounting, LLM, tax court clerkship, investment fund experience, or other tax transactional experience.
• Experience with US international taxation is a plus.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Admission to the New York State Bar.
