Job Overview:
A highly respected international law firm is seeking a mid-level to senior associate with 4–5 years of experience to join its growing and prominent Debt Finance Practice. This role provides a unique opportunity to engage in high-impact, complex finance matters with a focus on special situations, restructuring, and private equity. The position offers robust mentorship, a dynamic learning environment, and the chance to contribute to innovative, precedent-setting transactions that shape the finance landscape.

Location:

  • New York City, NY

Duties:

  • Advise private credit, private equity, investment funds, public/private companies, and financial institutions on complex finance transactions

  • Structure innovative credit investments including direct lending, special situation financings, and growth capital for tech companies

  • Manage large-cap and middle-market finance matters including leveraged buyouts, domestic and cross-border deals, senior secured debt, and asset-based facilities

  • Represent both debtors and creditors in debt restructurings

  • Serve as a key member of deal teams, responsible for drafting and executing debt commitment papers and credit documentation

  • Handle signings and closings of significant financial transactions

  • Contribute to general corporate finance matters and strategic initiatives within the practice

Requirements:

  • Minimum of 4 years of substantive legal experience in debt finance

  • Strong background in secured lending, corporate restructurings, acquisitions, and cross-border transactions

  • Demonstrated ability to lead transaction processes from drafting through closing

  • Availability for full-time, in-person work

  • Membership in good standing with the New York State Bar

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to the New York State Bar (required)

Skills:

  • Strategic thinking and problem-solving in complex financial environments

  • Strong drafting and negotiation skills

  • Ability to work collaboratively in culturally diverse teams

  • Initiative, creativity, and a results-driven approach

  • Experience managing multifaceted deals and client relationships
