Corporate Associate Attorney

Job Overview: A law firm in Miami, FL, seeks a highly skilled Private Equity Corporate Associate Attorney with at least 4 years of demonstrated corporate transactional experience. The ideal candidate will possess strong expertise in various areas of corporate law, including mergers and acquisitions, private equity transactions, private placements of debt and equity securities, venture capital financing, strategic joint ventures, capital markets, corporate governance, private investment funds, and general corporate matters.

Duties:

• Conduct legal research and analysis related to private equity transactions and corporate matters.
• Draft and review legal documents, including contracts, agreements, and transactional documents.
• Provide legal advice and guidance on mergers and acquisitions, private placements, venture capital financing, and corporate governance.
• Collaborate with internal teams and external clients to ensure effective communication and understanding of legal requirements.
• Participate in negotiations and assist in the structuring of complex transactions.

Requirements:

• Minimum of 4 years of demonstrated corporate transactional experience.
• Strong transactional experience in mergers and acquisitions, private equity transactions, private placements, venture capital financing, strategic joint ventures, capital markets, corporate governance, private investment funds, and general corporate matters.
• Excellent technical, professional, and client service skills.
• Effective and efficient problem-solving capabilities, with the ability to work independently and proactively.
• Membership in the Florida Bar in good standing.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Membership in the Florida Bar in good standing.
