Job Overview:
A prominent national law firm is actively recruiting a seasoned Corporate Securities Attorney to join its Corporate Business Unit. This role is ideal for candidates with 5–12 years of experience in securities law, including work with the SEC and major exchanges. The position supports clients on a range of securities compliance, regulatory filings, and governance matters. The firm offers a collaborative environment with flexible location options across its U.S. offices or remote.

Location:

  • Los Angeles, CA

Duties:

  • Prepare and manage filings with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group

  • Advise clients on securities compliance, disclosure requirements, and public company obligations

  • Draft and review regulatory documents including 10-Ks, 10-Qs, 8-Ks, S-1s, and proxy statements

  • Guide clients through public and private securities offerings

  • Support clients with board governance and fiduciary compliance

  • Stay up-to-date on legal and regulatory developments affecting corporate reporting

  • Collaborate with internal teams on corporate transactions and strategic initiatives

Requirements:

  • 5–12 years of experience in corporate and securities law

  • Significant experience with SEC filings and securities compliance

  • Demonstrated ability to manage complex regulatory matters with minimal supervision

  • Strong organizational and project management skills

  • Client-focused mindset with excellent judgment and responsiveness

  • Must be licensed to practice in home jurisdiction or eligible for admission without examination

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active license to practice law in a U.S. state or jurisdiction (Required)

Skills:

  • Exceptional legal writing and research abilities

  • Strong interpersonal and verbal communication skills

  • Thorough understanding of federal securities laws and exchange requirements

  • Ability to manage multiple priorities and meet strict deadlines

  • Comfortable working in both independent and collaborative team settings
