Job Overview:

A leading law firm is seeking an associate attorney with expertise in M&A and transactional tax matters to join its Tax practice group. The role involves advising clients on federal tax matters related to mergers and acquisitions, transaction structuring, and entity formation. The ideal candidate will have a strong understanding of business transactions and tax implications, with experience in drafting and negotiating partnership agreements being a plus.

Location:

Duties:

  • Provide legal counsel on federal transactional tax matters, including mergers and acquisitions, entity formation, and transaction structuring.
  • Advise clients on choice of entity decisions and tax-efficient business structures.
  • Draft and negotiate partnership agreements (preferred but not required).
  • Conduct in-depth legal research on tax regulations and business transaction implications.
  • Collaborate with internal teams and clients to develop strategic tax solutions.

Requirements:

  • Minimum of three years of relevant experience in federal transactional tax matters.
  • Strong background in M&A, tax structuring, and entity formation.
  • Experience in drafting and negotiating partnership agreements is a plus.
  • Excellent analytical, communication, and writing skills.

Education:

  • Juris Doctor (J.D.) degree required.

Certifications:

  • Admission to practice law in California.

Skills:

  • Strong analytical and problem-solving abilities.
  • Excellent legal research and writing skills.
  • Ability to manage multiple tasks and work in a fast-paced environment.
  • Strong interpersonal skills for client interactions and teamwork.
