Job Overview: A law firm in Redwood City, CA, is seeking a Mid-Level Associate Attorney to join their team. The ideal candidate will have 4-7 years of experience in complex finance transactions, particularly sponsor-backed leveraged finance. They should demonstrate expertise in representing borrowers, lenders, and/or agents across various finance transactions. As a key member of deal teams, the Mid-Level Associate Attorney will be responsible for managing fundamental aspects of transactions, from due diligence to closing.

Duties:

  • Manage and oversee fundamental aspects of finance transactions, from due diligence through closing.
  • Serve as a key member of deal teams, contributing to strategic decision-making and execution.
  • Conduct legal research and analysis related to finance transactions.
  • Draft and review transactional documents, including loan agreements, security documents, and closing certificates.
  • Collaborate with clients, opposing counsel, and internal stakeholders to negotiate and finalize transaction terms.

Requirements:

  • 4-7 years of experience in complex finance transactions, preferably focusing on sponsor-backed leveraged finance.
  • Strong understanding of finance law and regulations.
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of California and good standing.
  • Proven ability to manage multiple tasks and deadlines effectively.
  • Excellent written and verbal communication skills.
