Job Overview:
A highly regarded international law firm is seeking a Senior Associate Attorney with 5–8 years of experience in private fund formation and fund operations to join its Asset Management & Investment Funds practice. This opportunity is ideal for attorneys experienced in advising both general partners (GPs) and limited partners (LPs) in the structuring, negotiation, and regulatory compliance of private investment funds. The role offers substantial responsibility, mentorship, and client-facing interaction within a collaborative and fast-paced legal environment.

Location:

  • Washington, D.C.

Duties:

  • Counsel clients on private fund formation and operational matters across a variety of fund structures

  • Represent both GPs and LPs in the negotiation of fund documentation and side letters

  • Draft and review private placement memoranda, limited partnership agreements, subscription agreements, and compliance materials

  • Advise on legal and regulatory issues under the Investment Advisers Act, Securities Act, and other applicable federal securities laws

  • Collaborate with cross-office teams on complex asset management and investment fund matters

  • Provide guidance on fund governance, investor relations, and ongoing fund administration

  • Mentor junior attorneys and contribute to knowledge-sharing initiatives

Requirements:

  • 5–8 years of experience focused on private fund work, ideally across multiple fund types (e.g., private equity, real estate, venture capital)

  • Direct experience representing fund sponsors and institutional investors

  • Ability to manage complex transactions and multiple workstreams independently

  • Strong interpersonal and client-facing communication skills

Education:

  • Juris Doctor (J.D.) from an accredited law school

  • Demonstrated academic excellence

Certifications:

  • Active bar membership in the jurisdiction of practice (MA, NY, or D.C.), or eligibility to obtain promptly

Skills:

  • Advanced knowledge of private fund structures and relevant regulatory frameworks

  • Strong drafting, negotiation, and issue-spotting skills

  • Excellent analytical and problem-solving abilities

  • Proficient in legal research tools and Microsoft Office, including Word and Excel

  • Ability to work collaboratively within large teams and across offices
