Job Overview:
A well-regarded law firm based in Las Vegas, NV, is seeking an experienced Corporate Securities Attorney with 5-12 years of relevant expertise. This opportunity offers a dynamic work environment focused on regulatory compliance, securities filings, and advising on complex financial transactions. The ideal candidate will bring strong securities experience, meticulous attention to detail, and excellent interpersonal communication abilities. This role requires an active license in Nevada or eligibility for admission without examination.

Duties:

  • Prepare and file documents with the Securities and Exchange Commission (SEC), Financial Industry Regulatory Authority (FINRA), New York Stock Exchange (NYSE), Nasdaq, and OTC Markets Group.

  • Provide counsel on regulatory compliance matters relating to securities law and capital markets.

  • Assist with ongoing corporate governance obligations for public and private companies.

  • Work closely with clients to structure and execute securities offerings and disclosure reporting.

  • Collaborate with internal teams and external parties to ensure seamless execution of transactions.

  • Advise clients on compliance with stock exchange rules and federal securities laws.

  • Manage securities law aspects of mergers and acquisitions and other corporate transactions.

  • Conduct legal research and draft related memoranda and legal opinions.

Requirements:

  • 5-12 years of direct experience in securities law and regulatory filings.

  • Demonstrated expertise handling matters involving the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group.

  • Exceptional attention to detail and a solid work ethic.

  • Strong written and verbal communication skills.

  • Ability to work independently and as part of a collaborative legal team.

  • Admission to the Nevada Bar or eligibility for admission without examination.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active license to practice law in Nevada or qualification for admission without examination.

Skills:

  • Advanced understanding of federal securities laws and SEC regulations.

  • Proficiency in corporate governance and regulatory compliance matters.

  • Ability to draft, review, and negotiate complex corporate and securities documents.

  • Strong analytical, organizational, and client management skills.
