Duties:

  • Represent private equity funds, hedge funds, venture capital funds, and other private funds in fund formation and operation.
  • Draft and review partnership agreements, subscription documents, and other fund-related documents.
  • Provide advice on legal and regulatory matters impacting private funds, including securities regulations, tax issues, and investment structures.
  • Assist clients with fundraising, structuring investment vehicles, and navigating complex legal landscapes.
  • Advise on matters related to limited liability companies, joint ventures, and other types of investment vehicles.
  • Collaborate with senior attorneys, clients, and stakeholders to manage high-profile matters.
  • Develop and maintain client relationships while ensuring top-quality service delivery.
  • Supervise junior associates and support their professional development.

Requirements:

  • 5-6 years of experience in private funds law, including expertise in private equity, venture capital, hedge funds, and other investment structures.
  • Strong analytical and problem-solving skills with the ability to address complex legal issues.
  • Excellent written and oral communication skills, including the ability to communicate intricate legal concepts.
  • Demonstrated leadership ability, with a collaborative and team-oriented approach.
  • Admitted to the State Bar or eligible to waive in.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to NY State Bar or eligibility for waiver.

Skills:

  • Strong legal research and drafting skills.
  • Proficiency in private funds law, including formation, operation, and regulatory compliance.
  • Leadership and mentoring skills.
