Job Overview:
A national law firm is seeking a highly skilled Corporate Securities Attorney with 5 to 12 years of experience to join its Corporate Practice Group. The successful candidate will work on a wide range of securities-related matters including public company reporting, capital markets transactions, and corporate governance. This position offers the flexibility to work from any of the firm’s U.S. office locations or remotely.

Location:

  • Denver, CO

Duties:

  • Prepare and file documents with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group

  • Advise clients on securities compliance and disclosure obligations

  • Draft 10-Ks, 10-Qs, 8-Ks, proxy statements, registration statements, and other regulatory filings

  • Provide counsel on public and private offerings, including IPOs and PIPE transactions

  • Advise on corporate governance best practices and board responsibilities

  • Monitor and interpret securities law developments and implement changes as needed

  • Collaborate with internal legal teams on M&A and other strategic transactions

Requirements:

  • 5–12 years of experience practicing corporate and securities law

  • Extensive knowledge of federal securities regulations and stock exchange rules

  • Demonstrated experience managing SEC and related regulatory filings

  • Proven ability to work directly with clients and handle complex matters independently

  • Admission to practice law in a U.S. jurisdiction or eligibility for admission without examination

Education:

  • Juris Doctor (J.D.) degree from an accredited law school

Certifications:

  • Active bar license in good standing in any U.S. jurisdiction

Skills:

  • Exceptional legal research, drafting, and analytical skills

  • Strong communication and interpersonal abilities

  • Detail-oriented with excellent organizational and time management skills

  • Comfortable in both independent and collaborative work environments

  • Skilled at handling multiple projects with shifting priorities under tight deadlines
