A law firm in Boston, MA, is seeking a highly experienced Senior Associate or Counsel-level Tax Attorney with a minimum of 7 years of expertise. The ideal candidate will provide strategic counsel to exempt organizations, engage in tax structuring, and represent clients in various legal matters. This position requires strong academic credentials, exceptional writing and analytical skills, and substantial experience, particularly in large-firm or equivalent environments. New York Bar admission is required.

Duties:

  • Counsel exempt organizations (private foundations and public charities) on structure, formation, charitable gift planning, transactional matters, and unrelated business taxable income strategy and planning.
  • Lead tax structuring and the formation of business entities, including registration with tax and other regulatory agencies.
  • Draft and revise operating agreements and other governance documents for clients.
  • Serve as corporate counsel to nonprofit organization clients.
  • Represent exempt organization clients in legal matters before the Office of the Attorney General, Internal Revenue Service, Department of Revenue Services, Probate Courts, and other authorities.
  • Provide strategic advice on structure and tax-related issues associated with venture philanthropy collaborations, donor-advised funds, private foundations, and corporations.

Requirements:

  • Minimum of 7 years of experience in tax law.
  • Proven expertise in counseling exempt organizations and tax structuring.
  • Experience in corporate counsel roles for nonprofit organizations.
  • Strong academic credentials, demonstrating excellent writing and analytical skills.
  • Prior experience in large-firm or equivalent environments.
  • Admission to the New York Bar.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the New York Bar.

  • In-depth knowledge of tax laws related to exempt organizations.
  • Outstanding counseling and advisory skills.
