Mid-to-Senior level Funds Associate

Job Overview:
A distinguished law firm is seeking a mid-to-senior level Associate Attorney to join its Private Funds practice. This role offers the opportunity to work with both new and established fund sponsors in the formation and structuring of private investment vehicles. The ideal candidate will bring significant experience advising on fund formation, regulatory compliance, and investor negotiations.

Location:

• Atlanta, GA

Duties:

• Represent fund sponsors in the formation of private investment funds, separate accounts, and other investment vehicles

• Draft and negotiate fund offering documents, partnership agreements, and related legal documentation

• Advise clients on securities laws and regulatory compliance issues

• Provide legal support for capital raising and investor negotiations

• Collaborate with tax, regulatory, and other practice groups as needed for fund-related matters

Requirements:

• Minimum of 4 years of experience in private funds formation and related regulatory work

• Proven experience representing fund sponsors in the launch and maintenance of private investment vehicles

• Ability to manage client relationships and handle complex legal issues independently or within a team

• High level of responsiveness and commitment to client service

Education:

• Juris Doctor (J.D.) from an accredited and recognized U.S. law school

• Strong academic performance preferred

Certifications:

• Active bar membership in the state of New York or Georgia, or eligibility to waive in

• Excellent legal drafting and negotiation skills
